Parties and acceptance
This Receiving and Storage Agreement is between Miami Furniture Assembly Svcs LLC, doing business as MFA Prep & 3PL Center (MFA), and the customer identified in the accepted written quote, work order, portal record, shipment record or account documents.
1. Services and controlling documents
MFA will perform only the receiving, storage, preparation, fulfillment, returns, forwarding or related services accepted in writing. Published prices and calculators are informational starting points. The accepted written quote, work order, portal acceptance and these terms form the applicable agreement and control final pricing, minimums, deposits, scope, assumptions and service levels. Any separately signed account-specific terms control if there is a conflict.
2. Customer instructions and product information
The customer must provide accurate SKU data, quantities, dimensions, weights, labels, shipment plans, routing instructions, recipient information, platform requirements and special-handling requirements. MFA may rely on those instructions and may pause work while requesting clarification. Changes, rush requests, rework, nonstandard packaging or work caused by inaccurate instructions may be billed only under the accepted service scope.
3. Receiving
Inbound deliveries require advance notice and may require an appointment. The customer must provide expected counts, carrier and tracking information, purchase-order or SKU documentation, product dimensions and weights, and special unloading requirements.
Standard receiving records visible cartons or pallets. It does not include opening every carton, a complete unit count, functionality testing, authenticity verification, sorting, palletization or detection of concealed shortages or damage unless included in the written quote. Detailed counts, inspection, photography, testing, reconciliation and special equipment are additional services.
4. Goods requiring approval

2012–2014 Mears Pkwy, Margate, FL 33063.
The food facility at 2012 Mears Pkwy, Margate, FL 33063 is registered with the U.S. Food and Drug Administration (FDA).
Goods requiring temperature or humidity control, goods valued over $100 per unit, hazardous or regulated goods, oversize products and unusual goods require written approval before shipment and may require individual pricing. Lot tracking, expiration tracking and minimum shelf-life requirements must be disclosed before shipment and included in the written quote.
5. Storage and inventory records
Storage is billed under the accepted written quote or rate schedule. The customer must review inventory records and report discrepancies promptly in writing. Storage and handling may continue while goods remain at MFA after termination, subject to the applicable accepted service agreement and applicable law.
6. Inventory insurance
Before delivery, the customer must purchase and maintain insurance for the full replacement value of its inventory during inbound transportation, receiving, handling, storage, preparation and outbound transportation, unless the customer signs a separate Customer Inventory Insurance Waiver that MFA accepts in writing before delivery.
MFA is a service provider and is not the insurer of customer inventory. MFA business insurance does not replace the customer’s inventory coverage or guarantee reimbursement for the full value of the goods. Read the Insurance Disclosure and Customer Responsibilities.
7. Care, liability and claims
MFA will exercise the care required by the applicable accepted service agreement and applicable law. MFA responsibility for loss or damage depends on its failure to exercise required care or other conduct for which it is legally responsible. A loss does not by itself establish MFA fault or guarantee an insurance payment.
For applicable receiving and storage agreements with MFA Prep & 3PL Center, a DBA of Miami Furniture Assembly Svcs LLC, the default liability for each affected package is its proven actual value, capped at 150% of that package's agreed base monthly storage rate. Liability arises only where MFA is legally responsible; a loss alone does not establish fault. The accepted rate schedule must expressly identify the package or storage unit, the goods it comprises and its base monthly storage rate. A pallet, carton and individual item are not interchangeable. The limit does not apply to gross negligence, willful misconduct or liability that cannot legally be limited. Increased liability requires a written agreement identifying the increased limit and separately agreed additional charges. Inventory values and insurance certificates alone do not increase liability. Merchandise insurance is separate from contractual liability; MFA does not insure customer inventory. For prep-only work, weekly storage or goods without an agreed package base monthly storage rate, this formula does not apply and creates no zero-dollar limit; the applicable liability basis must be resolved in writing before work starts, subject to applicable law. These updated terms apply prospectively and do not alter existing accepted agreements or separately negotiated terms.
Receiving and Storage Agreement · Insurance Disclosure
Claim deadlines, required evidence and other claim procedures remain governed by the applicable accepted service agreement and applicable law. Suspected loss, shortage, mis-shipment or damage must be reported promptly to info@mfaprep3plcenter.com with the shipment or order number, affected SKUs and quantities, photographs, value documentation and supporting records.
8. Payment and release of goods
The customer must pay charges stated in the accepted written quote or service agreement. Invoices are due immediately upon issuance. A $100 prepaid deposit is required toward shipping costs per package. When the remaining shipping balance reaches $25, we will automatically charge the credit card on file for the amount needed to restore the shipping balance to $100. Any unused shipping balance will be refunded to the client when the account closes. The deposit is not a setup fee or service charge and is separate from the $100 FBA/WFS preparation minimum. The available shipping balance must cover postage before MFA purchases it. If the balance is insufficient, shipping pauses until sufficient funds are available. Full payment for services is required before dispatch. Termination requires 30 calendar days’ written notice and payment of all outstanding balances. Existing accepted agreements retain their agreed payment and termination terms. Approved payment methods and consequences of nonpayment are stated in the account documents.
9. Cancellation and remaining inventory

Any unused shipping balance will be refunded to the client when the account closes. The deposit is not a setup fee or service charge and is separate from the $100 FBA/WFS preparation minimum. Cancellation does not eliminate charges for completed work, committed labor, purchased materials, storage, carrier fees or noncancelable costs. The customer must provide written instructions for remaining inventory. Forwarding, return, disposal or other inventory disposition will occur only under the accepted service scope, this agreement and applicable law.
10. Term, suspension and governing law
MFA may refuse, suspend or terminate services for safety risk, prohibited goods, inaccurate information, nonpayment, breach, capacity constraints or legal requirements. Florida law governs this agreement. Unless an accepted account-specific agreement provides a different lawful procedure, state and federal courts in Broward County, Florida have exclusive jurisdiction.
11. Entire agreement
The Terms and Conditions, Insurance Disclosure, accepted written quote or work order, portal acceptance and this Receiving and Storage Agreement form the applicable agreement. Any separately signed account-specific terms control if there is a conflict.
